Terms of Service
1. Supplier Information

2. Agreement
These Terms govern the ATVIXA website, Stock Checker, Repricer, analytics, marketplace integrations, subscriptions and related services (the “Services”). By creating an account and expressly accepting these Terms, you agree to them. If you act for an organisation, you confirm that you have authority to bind it. Nothing in these Terms excludes or restricts a right or remedy that applicable South African law does not permit to be excluded.
3. Independent Service
ATVIXA provides independent seller software. Unless expressly stated otherwise, ATVIXA is not Takealot, is not owned or operated by Takealot, and is not endorsed by or affiliated with Takealot. Third-party names and trademarks remain the property of their respective owners.
4. IMPORTANT — Third-Party Platforms and APIs
Certain ATVIXA functions depend on third-party marketplaces, APIs, networks and services that ATVIXA does not own or control. Those third parties may change APIs, authentication, rate limits, data availability, policies, algorithms, pricing systems or access requirements; restrict or discontinue functionality; or experience outages.
ATVIXA does not guarantee that a third-party platform, API or feature will remain available or unchanged indefinitely. ATVIXA may reasonably modify, replace, suspend or discontinue affected functionality when an external change materially affects the Service. ATVIXA is not responsible for the independent acts or omissions of a third party merely because that third party interoperates with ATVIXA. Nothing here excludes liability or remedies that applicable law does not permit to be excluded.
5. Marketplace Authorisation
By connecting a marketplace account, you confirm that you own it or are authorised to operate it and to provide the credentials or permissions required for the functionality you enable. You may not connect another person's account without authority.
6. IMPORTANT — Automated Repricing
LIVE automated repricing can change the selling price of products without manual approval of each individual price change. If you enable LIVE repricing, you authorise ATVIXA to submit price changes according to the settings, rules and limits you configure.
Before enabling LIVE repricing, you are responsible for checking minimum and maximum prices, acquisition costs, marketplace fees, VAT and taxes, fulfilment and delivery costs, desired margins and your configured pricing rules. You remain responsible for deciding whether those commercial parameters are appropriate for your business. ATVIXA safeguards do not replace your responsibility to configure and review those parameters.
7. IMPORTANT — No Guarantee of Marketplace Results
ATVIXA does not guarantee Buy Box placement, marketplace ranking, sales volume, revenue, profit, competitor position or another commercial outcome. Marketplace results can depend on factors outside ATVIXA's control.
8. Third-Party Data
ATVIXA may display or use information obtained from authorised third-party sources. ATVIXA takes reasonable steps appropriate to the Service but cannot warrant that third-party information is always complete, current or error-free. Customers should verify commercially critical information where appropriate.
9. Accounts and Security
You must provide accurate registration information, reasonably protect login credentials and control access by authorised users. Notify support@atvixa.co.za promptly if you reasonably suspect unauthorised access.
10. Acceptable Use
You may not use ATVIXA unlawfully; access another person's account without authority; circumvent security or plan restrictions; introduce malicious code; deliberately interfere with the Service; abuse APIs; commit fraud; or materially threaten ATVIXA, its infrastructure or customers. ATVIXA may take reasonable protective action, including suspension, for fraud, unlawful activity, material breach or security threats.
11. Availability
ATVIXA aims to provide a reliable Service but does not promise uninterrupted or error-free availability. Maintenance, updates, telecommunications, hosting, cybersecurity events, third-party systems and circumstances outside reasonable control may affect availability. ATVIXA will take reasonable steps to maintain and restore Services within its control.
12. Subscriptions
Unless expressly stated otherwise before purchase, paid subscriptions are month-to-month. The applicable plan, price, included functionality and billing period are shown before purchase. Payment methods may include EFT, PayFast and other methods ATVIXA makes available from time to time.
13. Cancellation
A customer may cancel future renewal of a month-to-month subscription. Unless applicable law requires otherwise, cancellation ordinarily takes effect at the end of the billing period already paid for and paid access may continue until that date. ATVIXA does not impose an additional cancellation penalty merely for stopping renewal of an ordinary month-to-month subscription.
14. Refunds
Except where applicable law provides otherwise, fees for a billing period that has already commenced are ordinarily not refundable merely because a customer changes their mind, voluntarily stops using ATVIXA, no longer requires the Service or stops marketplace trading. Nothing removes any mandatory cooling-off, cancellation, refund, quality or other statutory right. See the Subscription, Cancellation & Refund Policy.
15. Trials and Promotions
Where ATVIXA offers a trial or promotion, its duration and material conditions will be disclosed with that offer. Any automatic conversion to a paid subscription will be disclosed before acceptance and handled subject to applicable law.
16. Changes to Plans and Prices
ATVIXA may change future plans, features or subscription prices. A future price change does not retrospectively alter a billing period already paid. Notice will be given where required by law.
17. Intellectual Property
ATVIXA's software, source code, original interfaces, branding, documentation and proprietary technology belong to ATVIXA (PTY) LTD or its licensors. A subscription grants a limited right to use the Service under these Terms and does not transfer ownership. Customers retain rights in material they lawfully provide.
18. IMPORTANT — Limitation of Liability
To the maximum extent permitted by applicable law, ATVIXA will not be liable for indirect, special, incidental or consequential loss arising solely from matters outside ATVIXA's reasonable control, including independent third-party platform or API failures.
Where ATVIXA may lawfully limit contractual monetary liability, ATVIXA's aggregate liability arising from the affected paid Service is limited to subscription fees actually paid to ATVIXA for that Service during the three months immediately preceding the event giving rise to the claim. This cap does not apply where such limitation is prohibited by law and does not exclude liability that cannot legally be excluded or limited.
19. Customer Business Decisions
ATVIXA is software and does not provide legal, accounting, investment or tax advice. Customers remain responsible for their products, marketplace compliance, inventory, taxes, costs, pricing strategy and business decisions.
20. Suspension and Termination
ATVIXA may reasonably suspend or terminate access for material breach, fraud, unlawful activity, unauthorised access, deliberate security threats, material abuse or non-payment. Where appropriate and reasonably practicable, ATVIXA may provide an opportunity to remedy a breach. Statutory rights remain unaffected.
21. Changes to Terms
ATVIXA may update these Terms for legal, regulatory, security, technical or material service changes. The current version and effective date will be displayed. Material changes will be notified and, where appropriate or legally required, renewed acceptance will be requested.
22. Communications
ATVIXA may send account, authentication, password-reset, security, subscription, payment and material service communications necessary to administer the Service. Marketing is handled separately under the Privacy Policy and applicable law.
23. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Nothing prevents a person from approaching a court, regulator, ombud or other competent body where they have a lawful right to do so.
